TapTimeClock and the website at taptimeclock.com (together with related platforms, software, and services, the "Services") are operated by Andy Dentone, an individual sole proprietor doing business as TapTimeClock ("TapTimeClock," "we," "us," or "our").
By accessing or using the Services, requesting the free kit, booking a demo, or engaging us for an installation, you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these Terms, you do not have permission to access or use the Services.
You must be at least 18 years old to use the Services on your own behalf. If you use the Services for an organization, you represent that you have authority to bind that organization to these Terms, and "you" includes that organization. Information you provide must be accurate and complete.
TapTimeClock provides volunteer check-in and check-out systems for nonprofit organizations, including some or all of the following depending on your agreement with us:
Paid engagements are governed by the service agreement or order you enter with us; if these Terms conflict with a signed service agreement, the service agreement controls for that engagement.
We offer a free build kit (which may include a platform snapshot, tracking script, setup guide, and printable sign templates). We grant you a non-exclusive, non-transferable license to use the kit to build and operate a volunteer check-in system for your own organization, including modified versions for your own use.
You may not resell the kit or offer it (or systems produced from it) as a paid product or service to third parties without our written permission. The kit is provided as-is, without warranty or any obligation of support (see Section 12).
Our Privacy Policy describes how we collect and use personal information and is incorporated into these Terms by reference.
By submitting a form, booking a demo, or otherwise providing contact information, you consent to receive communications from us related to your request, including by email and, where you provide a phone number and applicable consent, by phone or text message. Consent to marketing communications is not a condition of purchase, and you may opt out at any time.
By providing your mobile phone number and opting in, you consent to receive recurring informational and transactional SMS/text messages from us or our service providers, such as volunteer check-in and check-out confirmations, appointment reminders, and service updates.
No mobile information will be shared with third parties/affiliates for marketing/promotional purposes. Information sharing to subcontractors in support services, such as customer service, is permitted.
We may use third-party messaging platforms to operate these programs.
We send transactional, service-related, and (with consent) marketing emails. Every marketing email includes a working unsubscribe link, and we honor opt-out requests within 10 business days. Our emails use accurate sender information and honest subject lines, and include our physical mailing address: Andy Dentone, RR 8220 East Maringo Drive, Spokane, Washington. Transactional emails related to an active engagement cannot be opted out of while the engagement continues.
Fees for paid services are stated in your service agreement or order, including any setup fees, prepaid periods, and recurring charges. Unless your agreement says otherwise: fees are due as invoiced, recurring fees continue until cancelled per your agreement, and prepaid amounts are non-refundable once installation work has begun. We may suspend services for accounts with overdue balances after reasonable notice.
The Services, including the TapTimeClock name, website content, kit materials, scripts, templates, and documentation, are owned by TapTimeClock or its licensors and are protected by intellectual property laws. Except for the kit license in Section 4 and any rights granted in your service agreement, no rights are transferred to you. You may not copy, modify, distribute, or create derivative works of our materials for commercial use without written permission.
Where your service agreement grants case-study rights, we may reference your organization's results; you review any case-study material before we publish it.
The Services rely on third-party platforms, including GoHighLevel / LeadConnector (CRM, forms, messaging), Google Workspace (Sheets, Apps Script), payment processors, and telecommunications carriers. Those services are governed by their own terms and policies, and we are not responsible for their availability, changes, or failures. Carrier delivery of text messages is outside our control.
THE SERVICES AND THE FREE KIT ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT RECORDS WILL MEET THE REQUIREMENTS OF ANY PARTICULAR FUNDER, GRANT PROGRAM, OR REGULATOR. YOU ARE RESPONSIBLE FOR VERIFYING THAT YOUR RECORD-KEEPING MEETS YOUR OWN COMPLIANCE OBLIGATIONS.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, ANDY DENTONE AND ANY CONTRACTORS OR AGENTS ACTING ON TAPTIMECLOCK'S BEHALF WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST DATA, OR LOST FUNDING OPPORTUNITIES, ARISING FROM OR RELATED TO THE SERVICES. OUR TOTAL LIABILITY FOR ANY CLAIM WILL NOT EXCEED THE AMOUNTS YOU PAID US FOR THE SERVICES IN THE 12 MONTHS BEFORE THE CLAIM AROSE, OR ONE HUNDRED DOLLARS ($100) IF YOU HAVE PAID US NOTHING.
You agree to defend, indemnify, and hold harmless Andy Dentone and any contractors or agents acting on TapTimeClock's behalf from claims, damages, and expenses (including reasonable attorneys' fees) arising from your use of the Services, your violation of these Terms, your violation of applicable law (including messaging and consent laws with respect to your volunteers), or your infringement of any third party's rights.
We may suspend or terminate access to the Services for violation of these Terms, unlawful use, non-payment, or risk to TapTimeClock or other clients, with notice where practicable. You may end a paid engagement as provided in your service agreement. Sections that by their nature should survive termination (including Sections 10, 12, 13, 14, and 17) survive. On termination of an installation engagement, your volunteer records remain in your own accounts as described in Section 9.
You consent to receive notices, disclosures, and communications from us electronically, including by email to the address you provide. Electronic communications satisfy any legal requirement that a communication be in writing. You are responsible for keeping your contact information current.
Internal resolution first: before pursuing formal dispute resolution, you agree to contact us at [email protected], engage in good-faith negotiation, and allow at least 30 days for internal resolution.
PLEASE READ THIS ARBITRATION AGREEMENT CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS. If informal resolution is unsuccessful, any dispute, claim, or controversy arising out of or relating to these Terms or the Services shall be determined by binding arbitration in Spokane County, Washington, before a single arbitrator, conducted in accordance with the rules of the American Arbitration Association. You and TapTimeClock each waive any right to a jury trial and agree that claims may be brought only in an individual capacity, not as a plaintiff or class member in any class or representative proceeding.
These Terms are governed by the laws of the State of Washington, without regard to conflict-of-law principles, except as preempted by federal law.
These Terms are designed to comply with federal law and state-specific regulations, including California (CCPA/CPRA and automatic renewal laws), Texas (TDPSA and automatic renewal laws), and Washington State consumer protection laws. For recurring services, we disclose renewal terms before purchase, obtain express consent, provide cancellation methods, and send renewal communications where required. For state-specific questions, contact us using the information in Section 21.
We may modify these Terms from time to time. When we do, we will update the "Last updated" date above and, for material changes, take reasonable steps to notify active clients. Continued use of the Services after changes take effect constitutes acceptance of the updated Terms.
